STANDARD TERMS AND CONDITIONS OF SALE
RESITEC CONSULTANCY — STANDARD TERMS & CONDITIONS Version 2.0 — Effective 1 January 2026
These Standard Terms & Conditions govern all consulting engagements undertaken by Resitec Consultancy (ABN 57 237 809 801). They should be read in conjunction with the Engagement Letter issued for each specific project.
- Fees & Billing. All rates are exclusive of GST. A 10% GST applies to Australian engagements. International clients are invoiced in agreed currency as specified in the Engagement Letter. Invoices are due within 14 days of invoice date. Delayed payment beyond 14 days may result in suspension of services.
- Late Payment. Invoices outstanding beyond 30 days may attract interest at 5% per annum on the overdue amount. Invoices outstanding beyond 60 days may be referred to a debt recovery service. All associated costs are payable by the client.
- Withholding Tax. Where a client's jurisdiction requires withholding tax to be deducted, this is the client's sole responsibility to remit to the relevant authority. Invoice amounts are due to Resitec Consultancy in full regardless of any withholding requirements.
- Service Quality. Resitec Consultancy will deliver services with the skill and care of an experienced residential technology consultant. Our obligations are best-endeavours obligations and do not constitute a guarantee of specific business outcomes.
- Limitation of Liability. Resitec's total aggregate liability is limited to fees paid in the 12 months preceding any claim. Resitec is not liable for indirect, consequential, or punitive losses.
- Confidentiality. Both parties agree to treat each other's confidential information with reasonable care. These obligations survive termination for three years.
- Intellectual Property. Resitec retains ownership of all pre-existing methodologies and frameworks. Client deliverables are jointly owned upon full payment.
- Termination. Either party may terminate with 30 days written notice. All fees accrued to termination date remain payable.
- Governing Law. These terms are governed by the laws of Tasmania, Australia.
- Entire Agreement. These terms, together with the applicable Engagement Letter, constitute the entire agreement between the parties.
